  • Confidentiality obligations and intellectual property terms survive termination

8.2 Termination by nexxus partn

  • We may terminate services for non-payment, breach of agreement, or ethical concerns
  • Immediate termination is allowed for illegal activities or misrepresentation
  • We will provide reasonable notice except in cases requiring immediate termination
  • All outstanding invoices become immediately due upon termination for cause

9. Dispute Resolution and Governing Law

9.1 Dispute Resolution Process

Step 1 - Direct Negotiation: Parties will attempt to resolve disputes through good faith negotiations for 30 days.

Step 2 - Mediation: If negotiation fails, disputes will be submitted to mediation through the Singapore Mediation Centre.

Step 3 - Arbitration: Unresolved disputes will be settled through binding arbitration under Singapore International Arbitration Centre rules.

9.2 Governing Law and Jurisdiction

  • These Terms are governed by the laws of Singapore
  • Singapore courts have exclusive jurisdiction for any legal proceedings
  • Any arbitration proceedings will be conducted in Singapore in English
  • The prevailing party in disputes may recover reasonable legal costs

10. General Provisions

10.1 Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to existing clients and posted on our website. Continued use of our services constitutes acceptance of modified terms.

10.2 Entire Agreement and Severability
